1. Acceptance and Scope
1.1. These Terms of Service (“Terms”) govern access to and use of the 28East Network Coverage API, documentation, software, data feeds, and related feasibility services (“API Service”).
1.2. By accessing, integrating, or calling the API Service, or by signing an Order Form / Proposal incorporating these Terms by reference, you (“Client”, “Customer”, or “You”) agree to be bound by this Agreement.
1.3. These Terms operate alongside any underlying commercial Proposal or Order Form executed between 28East and the Client. In the event of a conflict, the terms of the specific Proposal take precedence.
2. API License & Use Restrictions
2.1. Grant of License: Subject to payment of applicable fees and compliance with these Terms, 28East grants the Client a non-exclusive, non-transferable, revocable license during the Term to access and query the API Service solely for internal business operations or integration into approved client-facing web applications specified in the Proposal.
2.2. No Commercial OEM / Resale: Access is granted solely for the Client’s approved end-use. The Client shall not sublicense, resell, white-label, re-feed, or embed the API Service or its underlying data outputs into a commercial product for resale to third parties without express prior written consent from 28East.
2.3. Reverse Engineering & Misuse: The Client shall not (and shall not permit any third party to) copy, decompile, reverse-engineer, modify, hack, or corrupt the security or functionality of the API Service. 28East reserves the right to immediately suspend access in the event of unauthorized tampering or misuse without prejudice to statutory damages.
3. Provider Data & Coverage Scope
3.1. FNO Data Aggregation: The API Service aggregates coverage, feasibility, and telemetry data sourced from third-party Fibre Network Operators (FNOs), wireless providers, and mapping services.
3.2. Provider Flexibility: 28East reserves reasonable flexibility to add, remove, substitute, or vary data providers maintained within the API environment during the Term.
3.3. Data Freshness & Updates: Where applicable, provider datasets are refreshed weekly. Release updates and data freshness timestamps are made available in connection with weekly updates.
3.4. Third-Party Authorization: If a non-public provider dataset or closed API requires authorization, the Client agrees to assist 28East in securing the necessary access rights or provider credentials.
4. API Keys & Authentication
4.1. Authentication Credentials: Access to API endpoints requires a valid API key issued by 28East.
4.2. Key Security: API keys are generated specifically for the Client’s organization and must be kept strictly confidential. Keys must not be shared outside your authorized organization.
4.3. Liability for Misuse: 28East is not liable for any losses, unauthorized requests, or charges incurred due to the exposure, compromise, or misuse of your API key by third parties. You must notify 28East immediately if key compromise is suspected.
5. Usage Thresholds & Commercial Reviews
5.1. Fair Use & API Limits: Subscriptions include an agreed monthly request tier (e.g., total GetFeasibility API calls per month).
5.2. Commercial Reviews: Subscription fees are based on the initial active provider scope and estimated monthly request volumes. If request volumes consistently exceed agreed thresholds or the active provider footprint expands substantially, 28East reserves the right to initiate formal commercial discussions to adjust subscription pricing prior to applying changes.
5.3. Payment & Suspension: Invoices are payable within 30 days of the invoice date free of deduction or set-off. Late payments accrue statutory interest and may result in temporary suspension of API access.
6. Service Levels, Hosting & Rate Limits
6.1. Infrastructure: The API Service is hosted on Google Cloud Platform (GCP) for scalability, security, and high availability. Hosting SLA details follow standard GCP service level commitments.
6.2. Proactive Monitoring & Latency Handling: 28East proactively monitors API response times and downstream external FNO API latency. 28East reserves the right to reroute queries, adjust caching parameters, or enforce custom timeouts to ensure platform stability.
6.3. Custom Timeouts: Clients may configure custom timeout parameters per external FNO API via API configuration settings to align with user-experience requirements.
6.4. Support Hours: Standard support is provided via email during South African business hours (Monday to Friday, 08:00 – 17:00 SAST, excluding public holidays).
7. Data Protection & POPIA Compliance
7.1. Both parties agree to comply with all applicable privacy and data protection legislation, including South Africa’s Protection of Personal Information Act 4 of 2013 (POPIA).
7.2. Where geographic coordinates, physical addresses, or contact information are submitted via API calls or audit logs, each party shall process such Personal Information strictly for the purpose of executing feasibility queries, maintaining audit logs, and fulfilling contractual obligations.
7.3. Neither party shall use or retain Personal Information longer than necessary to fulfill the operational purpose or legal requirements.
8. Intellectual Property & Map Licensing
8.1. Ownership: All rights, title, and intellectual property in and to the API Service, application logic, algorithms, aggregation layers, and system logs remain exclusively with 28East.
8.2. Third-Party Terms: Use of underlying mapping capabilities is subject to the Google Maps Platform Terms of Service (https://cloud.google.com/maps-platform/terms/). Pricing models assume standard Google Maps Platform free usage tiers where applicable.
9. Disclaimers, Warranties & Limitation of Liability
9.1. Third-Party Data Disclaimer: 28East is an aggregator and is not the original creator of third-party coverage datasets. 28East makes no express or implied warranties regarding the accuracy, completeness, real-time state, or fitness for a particular purpose of third-party FNO coverage data.
9.2. Indemnity: The Client indemnifies and holds harmless 28East against any third-party claims, losses, fines, or liabilities arising directly or indirectly from the Client’s misuse of the API Service or reliance on external network availability data.
9.3. Consequential Damages: Neither party shall be liable to the other for indirect, special, punitive, or consequential damages.
9.4. Liability Cap: To the maximum extent permitted by law, 28East’s maximum aggregate liability for any claims arising under or related to the API Service or Agreement shall be strictly capped at the total subscription fees paid by the Client to 28East in the 1 (one) calendar month immediately preceding the month in which the claim arose.
9.5. ISPA Compliance: 28East is a member of the Internet Service Providers’ Association (ISPA) and adheres to the ISPA Code of Conduct (https://ispa.org.za/code-of-conduct/).
10. Term, Termination & Price Escalation
10.1. Initial Term & Auto-Renewal: Contracts endure for an initial 12-month period and automatically continue on a month-to-month basis thereafter unless terminated on 1 calendar month’s written notice.
10.2. Early Cancellation Fee: Early termination of a fixed term by the Client requires 1 calendar month's written notice and is subject to a cancellation fee equal to 50% of the remaining subscription fees for the unexpired balance of the initial term.
10.3. Annual Escalation: Subscription fees are subject to annual adjustment aligned with the South African Consumer Price Index (CPI), taking effect on the anniversary date or start of the month-to-month period.
10.4. Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.
